We represent partners at general and extraordinary shareholders’ meetings in capital companies, and provide advice on the management of capital companies, settling disputes between partners as well as between shareholders-management. We provide legal support in the field of conducting the work of supervisory bodies – foundation boards and supervisory boards of companies.
Legalization
Running a business in Poland in any form, whether as a sole proprietorship or a commercial law company, including a simple joint-stock company, significantly affects the residence status of a foreigner. In order to meet your expectations, we offer a range of services for administrative proceedings in the field of residence and work permits for partners, the management board, members of supervisory boards and company employees, including highly qualified employees and their families. Our consultancy covers the entire advisory process, also including the business plan stage, as well as the reminder procedures before the Head of the Office for Foreigners, complaints about inactivity of the administration before the Regional Administrative Court and compensation resulting from excessive length of proceedings before the common court.

Simple joint stock company
In connection with the introduction of SIMPLE JOINT STOCK COMPANY into the Code of Commercial Companies from March 3, 2021, our consultancy also includes support in establishing this type of company and legalization of stay based on running a business in this type of formula.
A simple joint stock company is a capital company in which, in addition to monetary assets, know-how, work, and services can also be contributed. The minimum initial capital is PLN 1. This type of company is allowed alongside limited liability companies, limited partnerships and limited joint-stock partnerships for foreigners, both citizens of the European Union, EEA and the so-called third countries, i.e. outside the European Union and the EEA.

In this form, we ask about the basic issues related to your needs. In other words: we try to grasp the relevant legal and tax circumstances contained in your inquiry.

Our proposition
You will receive a reply from us within 2 days of completing the questionnaire, which will already outline how and when we can help you. We will also enclose a package of possible solutions. After clarifying the details, we will be able to price the service. At this moment, we will also send you a contract proposal.
STEP 3
Contract and payment
The contract is signed with us in your national language, so that you can be sure of the mutual obligations. You can pay by bank transfer or PayPal. We are prepared for remote cooperation: teleconferences, payment in your national currency.
STEP 4
Consulting - remote or stationary
From this moment on, we keep you updated on the progress of our work on your case. We rely on electronic communication. We reply to each e-mail within two working days, at the latest. This process also involves the following experts: a notary public, credit or bank advisor, insurance broker. Our office is located in Wrocław. What cities can you help me set a company up in?
The seat of the company may be chosen to be in any city in Poland. Importantly, both the seat and the address for service should be in Poland. Pursuant to Polish regulations, offices and other public institutions deliver official consignment only in Poland.
Do you offer a correspondence address, a so-called virtual office?
Yes, we offer the possibility of registering your company at an address in the very center of Wrocław - Wyspa Słodowa 7. The service includes the possibility of indicating a correspondence address. After receiving the letter, we confirm its receipt via e-mail. We immediately send a scan to the e-mail address provided.
What taxes will I have to pay if I have a company in Poland?
As a rule, corporate income tax (CIT) is a tax on "companies" in Poland. The PIT tax is also paid independently. The tax on goods and services is VAT. Find out more about taxes in our newsletter. Our tax advisor is also at your assistance.
Will I have to come to Poland to complete the formalities?
We carry out the entire process remotely without you having to come to Poland. Naturally, if you are in Poland, it will be easier to complete the procedures. We adjust the procedure to your place of residence.
Will I be able to legalize my stay as well as my family's stay in Poland on the basis of this company?
Yes. Having a business in Poland in the form of a JDG, a limited liability company or another type of company gives the opportunity to indicate so in the procedure of legalization of stay and work. It is necessary to demonstrate that the business is realistically run and achieves regular income of a certain amount.
How long does it take to establish a company?
We try to adjust our actions to your abilities and expectations. The fastest way to acquire a ready-made company is by a so-called shelf company. It is already "prepared" and you can become its owner overnight. It is also possible to "design" a limited liability contract and adapt it to a more complex ownership structure.
Is it possible to obtain support and advice only in the scope of legalizing the stay of members of the management board or partners, if I already have an established company?
Yes, we have experience in these types of proceedings. We advise at every stage of administrative proceedings on obtaining a residence permit based on the conducted business activity and in order to obtain a type B work permit, i.e. for members of management or supervisory bodies for companies.
Is it possible to have a company in Poland that has practically no activity?
In principle, it is possible for a company to technically suspend its activities for a certain period of its activity. However, this only suspends certain accounting reporting obligations.
Do you offer the sale of so-called shelf companies?
Yes, these ready-made companies are complete with a specific name, marked with capital, sometimes with a functioning bank account. Shares in such companies can be purchased while modifying the details of these companies, e.g. the name (company) or leaving them as they are.
Do you offer corporate consulting?
Yes, our lawyers have experience in the field of drafting the law of commercial contracts, conducting proceedings in commercial courts of the National Court Register and advising on the daily operation of, in particular, companies from the IT industry and the construction industry. He has successfully represented Polish and foreign companies as well as local government units and foundations in proceedings before common and administrative courts of all instances.
As an advisor, he helped to establish several dozen commercial law companies, and as an attorney, he participated in several hundred administrative proceedings regarding residence and work permits. In the above-mentioned areas, he also acted in cases concerning persons with special status, including members and representatives of churches and religious associations, employees of foreign missions and employees working in Poland under international agreements and their families. He is a member of supervisory bodies of companies and foundations.

As a Graduate of the Faculty of Law at the University of Wrocław, he completed his legal (attorney) apprenticeship at the District Bar Association in Wrocław.
